Summary
We are currently seeking an experienced Paralegal and Contract Administrator to join our dynamic team. This role is pivotal in working alongside attorneys to assist in handling the legal corporate matters of the company and managing and facilitating our contract processes, ensuring efficiency, compliance, and alignment with our corporate initiatives.
The Paralegal and Contract Administrator, among other things, such as working on legal projects with attorneys, will be responsible for the overall management of contracts within the organization. This includes preparation, negotiation, execution, and monitoring of contracts in accordance with company policies and legal requirements. The ideal candidate will have a strong background in contract administration in a corporate setting, with proficiency in using DocuSign for electronic signatures and contract management.
Responsibilities
Contract Management
Draft, review, and negotiate a wide range of contracts, including but not limited to service agreements, vendor agreements, NDAs, and lease agreements.
Ensure all contracts are executed in a timely manner and in compliance with company policies and applicable laws.
Utilize DocuSign for efficient management of electronic signatures and document workflow, ensuring a seamless and secure contract execution process.
Collaborate with various departments, including legal, finance, and procurement, to ensure contracts meet business needs and risk management standards.
Maintain an organized and accessible contract database for easy retrieval and reference.
Provide training and support to team members on contract processes and DocuSign usage.
Stay updated on relevant laws, regulations, and industry practices that may affect contract management and operations.
Board, Governance Committee, Executive Committee, and Hearing Committee:
Create and revise Board governance tools including demographics charts, evaluation tools; proof and revise Board-related materials (bios, directory, trifold, etc.).
Coordinate and schedule at least four Governance Committee meetings.
Coordinate and schedule Hearing Committee meetings, prepare materials, and type meeting minutes.
Legal Department Support:
Act as the legal department’s ambassador.
Perform various research assignments as necessary.
Draft correspondence, memoranda, presentations, and other documents on behalf of the Legal Department.
Perform incidental support functions such as filing, scheduling of conference calls and meetings, travel arrangements and invoice/payment processing for the legal department.
Utilize Monday.com to plan. track and collaborate on projects.
Education & Experience Requirements
Bachelor’s degree in Business Administration, Law, or a related field or equivalent experience.
At least 3 years of relevant experience in contracts administration and legal support in a corporate setting.
Paralegal experience in large corporate setting or worked in a large law firm assigned to large corporate clients required.
Previous experience in working in a large law firm supporting a team of corporate attorneys is preferred.
Experience with contract management tools required and experience with DocuSign preferred.
Previous experience using Monday.com for project planning, tracking, and collaboration.
Knowledge, Skills and Abilities
Strong understanding of contract law and regulations, with the ability to interpret and explain contract terms and conditions preferred.
Proficient in using DocuSign for electronic signatures and contract management.
Excellent negotiation, communication, and interpersonal skills.
Detail-oriented with strong organizational and project management abilities.
Ability to work independently and as part of a team in a fast-paced environment.
Excellent oral and written communication skills.
Excellent interpersonal skills and ability to build working relationships with and collaborate with individuals at all levels of the organization.
Strong organizational and time management skills and ability to work independently are required.
Ability to establish priorities, handle multiple matters at once, and meet rapid deadlines.
Outstanding attention to detail; must be detail-oriented and able to work proactively and efficiently in a fast-paced, team-based, dynamic environment a must.
Excellent decision-making and problem-solving skills.
Strong computer skills such as Windows, Outlook, Excel, PowerPoint, Word, Outlook, etc.
Handle matters requiring discretionary judgment and confidentiality, including handling of confidential, critical, and time-sensitive information.
This position entails working with the Legal Department attorney and other outsider attorneys on highly confidential matters; must have maturity and discretion to maintain the highest level of absolute confidentiality.
Physical Requirements
Regularly required to sit; talk and hear, use hands to type, file, handle or feel. The employee is frequently required to reach with hands and arms. Occasionally required to stand; walk and stoop, kneel, crouch, or crawl. Visual acuity to use a keyboard, prepare and analyze data and figures; transcribing, viewing a computer terminal; extensive reading.
May require ordinary ambulatory skills sufficient to visit other locations; or the ability to stand, walk, lift, carry and move light to medium weight. Requires good hand-eye coordination, arm, hand, and finger dexterity, including ability to grasp, and visual acuity to use a keyboard, operate equipment and learn technical information.
Light lifting is required. Exerting up to 20 pounds of force occasionally, and/or up to 10 pounds of force frequently, and/or a negligible amount of force to constantly move objects.
Work environment
Work is regularly performed in a professional office environment and routinely uses standard office equipment.
This job requires occasional travel 0-10%.

The hiring range for this position is $70,000 to $85,000 per year. This range is an estimate and the actual salary may vary based on the candidate's experience, skills, and qualifications.
